Clan Campbell Society - Certificate of Incorporation

Certificate of Incorporation

A Certificate of Incorporation, often referred to as "Articles of Incorporation" is the foundational legal document that officially creates a corporation. It is a public record filed with a state authority, typically the Secretary of State, that acts as a "birth certificate" for the business, bringing it into legal existence as a separate entity distinct from its owners.

A Delaware Certificate of Incorporation is the foundational legal document filed with the Delaware Secretary of State to officially create a corporation. It outlines key details including the company name, registered agent, total authorized shares, par value, and the incorporator's information, ensuring compliance with Delaware General Corporation Law (DGCL).

Key takeaways

  • A certificate of incorporation is the official document that legally establishes your corporation and proves its existence to banks, investors, and government agencies.
  • The document must include specific information, like your company name, purpose, registered agent details, and authorized shares as required by state law.
  • Businesses can complete and file their certificate of incorporation through the Secretary of State’s office or relevant state agency.
  • You'll need a copy for opening business bank accounts, applying for loans, and conducting certain activities for your business.
