The Clan Campbell Society (North America) is 100% volunteer-led and does not pay a salary to its Executive Director or Board, your policy should be much simpler.
Clan Campbell Society (North America) Executive Compensation Policy (Volunteer-Led Model)
Article I: Purpose
The purpose of this policy is to ensure that the Clan Campbell Society (North America) operates in a manner consistent with its charitable mission and that its resources are used exclusively for public benefit. This policy establishes the organization’s commitment to a volunteer leadership model.
Article II: Prohibition of Compensation
- Board of Trustees: Members of the Board of Directors shall serve without compensation. No Trustee shall receive any salary, fee, or payment for their service as a member of the Board.
- Executive Leadership: The position of President, Vice President, Secretary, Treasurer, and all other leadership roles shall be filled by volunteers. No individual in a leadership or management capacity shall receive a salary, wage, or bonus for their services.
Article III: Reimbursement of Expenses
Notwithstanding Article II, the Board may authorize the reimbursement of reasonable, documented, and pre-approved "out-of-pocket" expenses incurred by an officer, or volunteer in the performance of their official duties.
- Reimbursements must follow the organization’s Document Retention and Financial Policies.
- All approved costs must be supported by receipts.
Article IV: Future Transitions
Should the Board of Trustees determine at a future date that the organization’s growth requires a paid staff position, this policy must be amended prior to any offer of employment. Any such amendment must include a process for reviewing market comparability data to ensure the proposed compensation is reasonable by IRS standards.
